You expressly confirm that you are acting as a professional in the context of your independent or professional activity.<\/div>\n<h2>Article 1 \u2014 Identity of the service provider<\/h2>\n<p>BJ Service BV<br \/>\nCompany number (CBE\/VAT): BE0439.571.435<br \/>\nEmail: <a href=\"mailto:info@my247coach.online\">info@my247coach.online<\/a><br \/>\nWebsite: <a href=\"https:\/\/my247coach.online\">https:\/\/my247coach.online<\/a><\/p>\n<h2>Article 2 \u2014 Applicability and B2B nature<\/h2>\n<p>2.1 &nbsp;These Terms and Conditions (hereinafter: &#8220;T&#038;C&#8221;) apply to all agreements between BJ Service BV (hereinafter: &#8220;My247Coach&#8221;) and the professional (hereinafter: &#8220;the Professional&#8221;) regarding the use of the My247Coach platform.<\/p>\n<p>2.2 &nbsp;The Professional expressly confirms that he\/she is acting as a self-employed individual, company or other legal entity in the context of their professional activity as a therapist, coach, counsellor or related profession. Consumer protection legislation under the Belgian Code of Economic Law (Book VI) does not apply.<\/p>\n<p>2.3 &nbsp;By registering on the platform, the Professional accepts these T&#038;C without reservation. Any deviating conditions of the Professional do not apply, unless accepted in writing by BJ Service BV.<\/p>\n<p>2.4 &nbsp;BJ Service BV reserves the right to modify these T&#038;C. The Professional will be notified by email with 30 days&#8217; notice. Continued use of the platform after this period constitutes acceptance.<\/p>\n<h2>Article 3 \u2014 Description of the platform<\/h2>\n<p>3.1 &nbsp;My247Coach is a technical software platform that enables professionals to support their clients through:<\/p>\n<ul>\n<li>AI-assisted coaching conversations via a digital assistant based on a Large Language Model with Artificial Intelligence<\/li>\n<li>A library of therapeutic audio recordings, whether self-created, received or purchased<\/li>\n<li>Session notes and client follow-up<\/li>\n<li>Communication and follow-up tools<\/li>\n<\/ul>\n<p>3.2 &nbsp;<strong>My247Coach is a technical tool. My247Coach is NOT a healthcare provider, therapy provider or counselling service and does not itself provide therapeutic services to clients.<\/strong><\/p>\n<p>3.3 &nbsp;The content-based guidance of clients remains the sole responsibility of the Professional using the platform.<\/p>\n<h2>Article 4 \u2014 Registration and access<\/h2>\n<p>4.1 &nbsp;Registration on the platform is exclusively available to professionals. The Professional declares to hold a recognised qualification or demonstrable professional experience as a therapist, coach or equivalent profession.<\/p>\n<p>4.2 &nbsp;Each professional has a personal, non-transferable account. Sharing login credentials with third parties is not permitted.<\/p>\n<p>4.3 &nbsp;My247Coach reserves the right to refuse a registration or deactivate an account without stating reasons, particularly in cases of suspected abuse, fraud or non-compliance with these T&#038;C.<\/p>\n<p>4.4 &nbsp;Upon approval of the registration, the Professional receives access to a free trial period of 30 days. My247Coach reserves the right to terminate the trial period at any time and without stating reasons. After the trial period, a paid subscription is required to continue accessing the platform.<\/p>\n<p>4.5 &nbsp;The Professional acknowledges that data entered during the trial period (client profiles, notes, conversation histories) may remain in the system after the trial period ends, unless deleted by the Professional or My247Coach in accordance with GDPR policy.<\/p>\n<div class=\"avv-info\">\ud83d\udccc <strong>Free trial:<\/strong> The trial period provides full access to the platform. No payment card is required to start the trial period. At its conclusion, the Professional will be invited to activate a subscription. Please note: data entered during the trial period is retained in accordance with our GDPR policy.<\/div>\n<h2>Article 5 \u2014 Subscriptions and payment<\/h2>\n<p>5.1 &nbsp;After the free trial period, the Professional may choose from the available subscription plans (monthly or annual). Current prices and subscription options are published on the platform&#8217;s introduction page (<a href=\"https:\/\/my247coach.online\/index.php\/english\/#prijs\">https:\/\/my247coach.online\/index.php\/english\/#prijs<\/a>) and may be updated by BJ Service BV at any time, subject to prior notification to the active Professional by email.<\/p>\n<p>5.2 &nbsp;All prices are exclusive of VAT. Applicable VAT rates are stated separately on the invoice.<\/p>\n<p>5.3 &nbsp;Payment is made via the payment methods offered on the platform. In the event of late payment, statutory interest is due by operation of law and without notice (Belgian Act of 2 August 2002 on combating late payment). My247Coach reserves the right to suspend access to the platform in the event of outstanding payments.<\/p>\n<p>5.4 &nbsp;The subscription includes an AI credit allowance for use of the chat functionality. Additional credits may be purchased. Unused credits expire at the end of the subscription period, unless otherwise determined.<\/p>\n<h2>Article 6 \u2014 Termination<\/h2>\n<p>6.1 &nbsp;Monthly subscription: terminable with 30 days&#8217; notice before the end of the current period.<\/p>\n<p>6.2 &nbsp;Annual subscription: terminable with 60 days&#8217; notice before the end of the annual period. If termination notice is given late, the subscription is automatically renewed for one year.<\/p>\n<p>6.3 &nbsp;Termination is effected by email to <a href=\"mailto:info@my247coach.online\">info@my247coach.online<\/a> or by registered letter to BJ Service BV.<\/p>\n<p>6.4 &nbsp;My247Coach reserves the right to terminate the agreement with immediate effect in the event of a serious breach of these T&#038;C, without refund of amounts already paid.<\/p>\n<p>6.5 &nbsp;Upon account closure, the data of the Professional and their clients will be processed in accordance with GDPR policy (see also Article 9 and the Privacy Policy).<\/p>\n<h2>Article 7 \u2014 Professional&#8217;s responsibilities<\/h2>\n<p>7.1 &nbsp;<strong>The Professional is solely responsible for:<\/strong><\/p>\n<ul>\n<li>The guidance, follow-up and care of their clients<\/li>\n<li>The decision to use the platform with specific clients, including assessing whether use is appropriate for vulnerable individuals<\/li>\n<li>The content of session notes, recordings and instructions entered in the platform<\/li>\n<li>Informing and obtaining consent from clients in accordance with applicable deontological and legal obligations<\/li>\n<li>Maintaining professional confidentiality and adhering to their own professional ethics<\/li>\n<\/ul>\n<p>7.2 &nbsp;The Professional acknowledges that the digital assistant based on a Large Language Model with Artificial Intelligence is a technical tool that does not make therapeutic diagnoses, does not provide treatment advice and does not replace the professional judgement of the therapist.<\/p>\n<p>7.3 &nbsp;The Professional will immediately notify My247Coach in the event of suspected misuse of the platform, unauthorised access or any security breach.<\/p>\n<h2>Article 8 \u2014 Limitation of liability<\/h2>\n<p>8.1 &nbsp;My247Coach provides the platform as technical infrastructure. My247Coach is not liable for:<\/p>\n<ul>\n<li>The outcome of therapy or coaching trajectories conducted via the platform<\/li>\n<li>Decisions made by the Professional based on information generated by the platform<\/li>\n<li>Damage suffered by the Professional&#8217;s clients as a result of use or non-use of the platform<\/li>\n<li>Temporary unavailability of the platform due to maintenance, technical failures or circumstances beyond My247Coach&#8217;s control<\/li>\n<li>Loss of data due to force majeure, cyberattacks or other unforeseen circumstances, provided My247Coach has taken reasonable security measures<\/li>\n<\/ul>\n<p>8.2 &nbsp;In no event shall My247Coach&#8217;s liability exceed the total subscription fees paid by the Professional over the preceding 12 months.<\/p>\n<p>8.3 &nbsp;My247Coach is not liable for indirect damages, loss of profit or consequential damages of any kind.<\/p>\n<h2>Article 9 \u2014 Data protection and GDPR<\/h2>\n<p>9.1 &nbsp;My247Coach processes personal data within the meaning of the General Data Protection Regulation (GDPR \u2014 EU 2016\/679) and the Belgian Act of 30 July 2018.<\/p>\n<p>9.2 &nbsp;My247Coach acts as data controller for the data of the Professional themselves.<\/p>\n<p>9.3 &nbsp;<strong>For the data of the Professional&#8217;s clients, My247Coach acts as data processor within the meaning of Article 28 GDPR. The Professional is the data controller for the data of their own clients.<\/strong><\/p>\n<p>9.4 &nbsp;The platform processes special categories of personal data (health data) of clients. The Professional is responsible for obtaining the explicit consent of their clients in accordance with Article 9(2)(a) GDPR before such data is entered into the platform.<\/p>\n<p>9.5 &nbsp;My247Coach uses professional subcontractors for data processing, in particular a professional provider of AI services for the processing of chat interactions, and a professional hosting company for web hosting and database storage. A Data Processing Agreement (DPA) or equivalent GDPR-compliant processor agreement has been concluded with each of these subcontractors. Upon request, the Professional may obtain the current list of subcontractors by contacting <a href=\"mailto:info@my247coach.online\">info@my247coach.online<\/a>.<\/p>\n<p>9.6 &nbsp;All health data is stored in encrypted form. My247Coach&#8217;s Privacy Policy is available at <a href=\"https:\/\/my247coach.online\/privacy-policy\/\">https:\/\/my247coach.online\/privacy-policy\/<\/a> and forms an integral part of these T&#038;C.<\/p>\n<h2>Article 10 \u2014 Intellectual property<\/h2>\n<p>10.1 &nbsp;All intellectual property rights in the platform, software, audio library, methodology and related documentation vest in BJ Service BV.<\/p>\n<p>10.2 &nbsp;The Professional may not:<\/p>\n<ul>\n<li>Copy, reverse-engineer, decompile or incorporate the platform or any component thereof into other software<\/li>\n<li>Distribute, sell or disclose audio content from the platform to third parties, with the exception of making it available to their own clients for personal listening in the context of their guidance<\/li>\n<li>Share login credentials with third parties<\/li>\n<li>Use any element of the platform to build a competing product<\/li>\n<\/ul>\n<p>10.3 &nbsp;<strong>Penalty clause:<\/strong> In the event of a breach of Article 10.2, the Professional shall forfeit by operation of law and without prior notice an immediately enforceable penalty of \u20ac25,000 (twenty-five thousand euros) per breach, without prejudice to the right of BJ Service BV to claim the actual damages suffered if these exceed the penalty amount.<\/p>\n<h2>Article 11 \u2014 Confidentiality<\/h2>\n<p>11.1 &nbsp;The parties undertake to keep confidential all confidential information received in the context of their collaboration and not to disclose it to third parties.<\/p>\n<p>11.2 &nbsp;This confidentiality obligation also applies after the end of the agreement.<\/p>\n<h2>Article 12 \u2014 Force majeure<\/h2>\n<p>My247Coach cannot be held liable for failure to fulfil its obligations in the event of force majeure. Force majeure includes, without limitation: strikes, fire, power supply failures, failures at external hosting providers, cyberattacks or incidents, pandemics and government measures. My247Coach will notify the Professional as soon as possible and seek a solution in consultation.<\/p>\n<h2>Article 13 \u2014 Applicable law and jurisdiction<\/h2>\n<p>13.1 &nbsp;Belgian law exclusively governs all agreements between BJ Service BV and the Professional.<\/p>\n<p>13.2 &nbsp;The Commercial Court of Antwerp, Antwerp division, has exclusive jurisdiction over all disputes arising from or related to these T&#038;C, unless mandatory legal provisions prescribe otherwise.<\/p>\n<p>13.3 &nbsp;The parties undertake, in the event of a dispute, to first attempt to reach an amicable settlement before initiating legal proceedings.<\/p>\n<div class=\"avv-note\">These Terms and Conditions are digitally accepted by the Professional upon registration via a declaration of agreement in the platform. A physical signature is not required.
